These Terms govern the use of the SOMOVS website and the purchase of design and visual services from SOMOVS.

By using this website, sending a request, accepting a quote, paying an invoice, or otherwise ordering services from SOMOVS, you agree to these Terms.
Business focus
SOMOVS primarily provides services to businesses, sole traders, studios, cafés, service providers, brands, and independent professionals acting in the course of trade or profession. SOMOVS may accept or refuse any request at its discretion. If SOMOVS agrees to work with a consumer, the mandatory consumer rights that apply under law will prevail over any conflicting clause in these Terms.
Website information only
The website content, package descriptions, “from” prices, typical ranges, examples, concept previews, timelines, and general descriptions are for information only and do not constitute a binding offer. A binding project starts only after SOMOVS confirms the scope in writing and the required advance payment is received.
Quotes, scope and project start
Every project begins with a short brief and scope review. Any quote, scope summary, package confirmation, invoice, or proposal issued by SOMOVS is based on the information available at that time. Work starts only when all of the following are received:
- the brief or project request;
- the materials reasonably required to begin;
- written confirmation of the agreed scope; and
- the required advance payment.
If the client delays delivery of content, approvals, references, access, or other required materials, timelines may be paused and adjusted.
Fees and payment
Unless otherwise stated in writing, payment is made in two parts:
- 50% advance payment before work begins; and
- 50% final payment before final release, transfer, export, publication handover, source-file transfer, or delivery of the final editable package.
Unless the invoice states otherwise, all prices are exclusive of VAT and other taxes that may apply.
Any third-party costs are not included unless expressly stated. This includes, for example: printing, domains, hosting, premium themes, premium plugins, paid fonts, stock assets, paid platform features, booking tools, payment tools, analytics tools, automation tools, translation services, and similar third-party expenses.
Advance payment and refunds
For business clients, the advance payment reserves production time and covers onboarding, scheduling, brief review, planning, and the commencement of services. For business clients, the advance payment is non-refundable unless SOMOVS expressly agrees otherwise in writing.
For consumers, nothing in these Terms limits any mandatory refund or withdrawal rights under applicable law. If a consumer lawfully withdraws after expressly requesting that work begin during the withdrawal period, SOMOVS may retain or charge a proportionate amount for the services already performed, to the extent permitted by law.
Late payment, suspension and recovery
If a payment is overdue, SOMOVS may suspend work, withhold review rounds, withhold releases, pause access, postpone delivery, or terminate the project until the outstanding amount is paid in full.
For business clients, overdue amounts may bear contractual or statutory late-payment interest and reasonable recovery costs where permitted by law. The client remains responsible for all completed work, reserved time, approved milestones, and any non-cancellable third-party costs already incurred on the client’s behalf.
Revisions and changes
Unless otherwise stated in writing, standard projects include two revision rounds. A revision round means one consolidated set of feedback on the version provided by SOMOVS.
The following are not included in the standard revision rounds unless expressly stated otherwise:
- a new brief after work has already begun;
- a major redesign or change of visual direction;
- extra concept directions;
- extra pages, new language versions, extra layouts, or extra deliverables;
- same-day urgent work;
- new technical features, integrations, payment setup, automation, booking logic, or custom form logic.
Any work outside the agreed scope may be quoted separately and may affect the timeline.
Client responsibilities
The client is responsible for:
- providing accurate project information;
- supplying content, references, logos, photos, copy, product information, menus, prices, and approvals on time;
- ensuring the client has the right to use all materials supplied to SOMOVS;
- checking deliverables carefully before approval, launch, print, or publication;
- confirming legal, factual, pricing, contact, and business information before final approval.
SOMOVS is not liable for errors originating from client-supplied materials, late client feedback, client-approved text, third-party content, or instructions given by the client.
Timelines
Any timeline, estimated date, or launch target is an estimate only unless SOMOVS expressly confirms a fixed deadline in writing. Timelines depend on client responsiveness, project complexity, required materials, revisions, and any third-party dependencies.
If the client becomes inactive, delays feedback, or repeatedly changes scope, SOMOVS may reschedule the project to the next available production slot.Third-party platforms and external servicesWhere services involve Webflow, social media platforms, map embeds, QR tools, printing suppliers, domain providers, hosting providers, payment tools, booking tools, analytics tools, or any other third-party service, SOMOVS is not responsible for the acts, omissions, downtime, policy changes, technical changes, pricing changes, account restrictions, or security incidents of those third parties.
Unless expressly included in writing, SOMOVS does not provide ongoing hosting administration, plugin maintenance, ad management, SEO campaign management, platform compliance management, same-day emergency support, or post-launch troubleshooting unrelated to the original scope.
Deliverables, source files and handover
Unless expressly included in writing, SOMOVS is not required to deliver raw working files, editable source files, unused concepts, draft files, internal production files, or native design files.
SOMOVS may withhold:
- final exports;
- editable files;
- shared workspace access;
- website transfer or handover steps;
- publication or launch-related deliverables;
- final QR or print-ready assets;
until all invoices due for the relevant project are paid in full.
Intellectual property
All drafts, concepts, working files, previews, unused proposals, and pre-final materials remain the property of SOMOVS unless otherwise agreed in writing.
A limited, non-exclusive, non-transferable right to use final deliverables is granted only after full payment of all amounts due for the relevant project. If an assignment or broader transfer of rights is expressly agreed, that transfer takes effect only after full payment.
SOMOVS retains the right to use completed work, project previews, and selected deliverables for portfolio, self-promotion, social media, case library, and presentation purposes, unless the parties have agreed in writing to confidentiality or a specific non-disclosure restriction.
Care Plan and update work
Care Plan or maintenance-type services, where offered, cover only the small updates expressly included in the selected plan or written scope. New design, new pages, new logos, new language versions, ads, SEO campaigns, booking systems, payment systems, e-commerce, hosting support, emergency same-day work, and other out-of-scope tasks are excluded unless separately quoted.
Cancellation and termination
The client may cancel a project only in writing.
If a business client cancels after work has started, all sums paid remain non-refundable and the client must pay for all work performed, all reserved time, all completed stages, and any non-cancellable third-party costs already incurred.
SOMOVS may suspend or terminate a project immediately if:
- the client fails to pay on time;
- the client becomes abusive, threatening, or unreasonably disruptive;
- the client requests unlawful, infringing, misleading, or prohibited content;
- the client repeatedly fails to provide required materials or approvals;
- continuing the project would expose SOMOVS to legal or reputational risk.
If SOMOVS terminates for one of the reasons above, the client remains liable for work already performed and costs already incurred.
Consumer withdrawal rights
If the client is a consumer and the contract is concluded at a distance, the client may have the legal right to withdraw within 14 days, unless an exception applies.
If the consumer expressly requests that SOMOVS begin the services before the end of the withdrawal period, and later withdraws before the services are fully performed, the consumer must pay a proportionate amount for the work already carried out, to the extent permitted by law.
If the consumer expressly requested early performance and acknowledged that the right of withdrawal may be lost once the services are fully performed, the right of withdrawal may no longer apply after full performance, to the extent permitted by law.
Disclaimer of outcomes
SOMOVS provides creative, visual, and digital service work. SOMOVS does not guarantee any specific commercial result, sales uplift, audience growth, platform approval, ranking outcome, legal compliance outcome, conversion rate, or uninterrupted technical performance of any third-party system.
Any recommendation, mockup, preview, concept, or technical suggestion is provided in good faith on the basis of the agreed scope and the information available at that time.
Limitation of liability
To the maximum extent permitted by law, SOMOVS shall not be liable for:
- indirect, incidental, special, punitive, or consequential loss;
- loss of profit, revenue, business, contracts, goodwill, data, opportunities, or anticipated savings;
- third-party platform failures, printing errors by third parties, hosting failures, domain issues, plugin conflicts, browser changes, operating-system changes, or interruptions outside SOMOVS’s control;
- losses caused by client delay, client instructions, client-approved content, or client-supplied material.
To the maximum extent permitted by law, SOMOVS’s total aggregate liability arising out of or in connection with a specific project shall not exceed the total amount actually paid to SOMOVS for that project.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
Complaints and dispute handling
If you have a complaint, please contact SOMOVS first at bogdans.somovs@gmail.com. SOMOVS aims to review and respond within a reasonable time and, where consumer law requires, within the applicable complaint-handling period.
If you are a consumer in Latvia and the complaint cannot be resolved directly, you may have the right to contact the Latvian Consumer Rights Protection Centre (PTAC) and, where applicable, the Consumer Dispute Resolution Commission. Cross-border EU consumers may also seek assistance from the European Consumer Centres Network (ECC-Net).
Governing law
These Terms and any project agreement are governed by the laws of Latvia, except where mandatory consumer protection rules of another applicable country require otherwise.
If you are a consumer, nothing in these Terms deprives you of any mandatory rights or remedies that apply under the law of your habitual residence.
